1. Terms of Service

1.1 Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Recoupant website, applications, software, revenue-recovery tools, reports, support services, integrations, and related services (collectively, the "Services") provided by AllenTech Industries ("Recoupant," "we," "us," or "our").

By accessing or using the Services, creating an account, submitting an assessment, purchasing a subscription, or otherwise interacting with the Services, you agree to be bound by these Terms and the applicable Privacy Policy and other policies incorporated by reference.

If you do not agree to these Terms, you should not access or use the Services.

1.2 Eligibility and Business Use

The Services are intended primarily for businesses, business owners, operators, and authorized representatives acting for legitimate business purposes.

By using the Services, you represent that you have the authority to enter into these Terms and, where applicable, to authorize Recoupant to access connected business systems and perform supported actions.

1.3 Account Responsibilities

You are responsible for maintaining the accuracy of information provided to Recoupant and for maintaining the confidentiality of your account credentials.

You are responsible for activity performed through your account and must promptly notify Recoupant of unauthorized access or suspected security incidents.

1.4 Services and Subscription Plans

Recoupant provides revenue-recovery assessment, analysis, reporting, opportunity identification, verification, workflow automation, and related business-support functionality.

Available subscription plans may include Recovery Audit, Recovery Pro, and Recovery MAX. Features, limits, pricing, availability, and supported integrations may vary by plan.

The Recovery Audit plan may include advertisements and related advertising technologies as described in these Terms and the Privacy Policy.

The Recovery Pro and Recovery MAX plans are intended to provide an ad-free experience within the Recoupant Services covered by the applicable subscription.

Recoupant may modify, add, remove, or replace features as the Services evolve, subject to applicable law and the applicable subscription terms.

1.5 Free Revenue Recovery Assessment

Recoupant may provide a free revenue-recovery assessment using information submitted by a prospective customer.

Assessment results may include estimated revenue leakage, potential recovery opportunities, scores, ranges, or other analytical information.

Free assessments generally rely on information supplied by the prospect and do not by themselves provide access to connected Stripe, Shopify, QuickBooks, or other business systems.

1.6 Revenue Recovery Opportunities

Recoupant may identify potential revenue-recovery opportunities using information from assessments, authorized connected systems, rules-based analysis, AI-assisted analysis, and other applicable data sources.

Depending on the nature of an identified opportunity, Recoupant may assist with revenue recovery through processes that can include identifying potential revenue leakage, analyzing available transaction or business data, verifying the underlying opportunity, recommending appropriate recovery steps, obtaining required customer authorization, and executing supported recovery actions through authorized workflows or connected services.

Where applicable, Recoupant may track the progress and outcome of recovery activities and distinguish between estimated, verified, and actual recovered amounts.

Recoupant makes a reasonable and good-faith effort to identify legitimate revenue-recovery opportunities and, where supported by the Services and authorized by the customer, to assist in pursuing those opportunities. However, the existence of an identified opportunity does not mean that the underlying revenue is necessarily recoverable.

Recovery may depend on factors outside Recoupant's control, including third-party systems, payment processors, customer or merchant policies, transaction history, data accuracy, applicable laws, customer actions, the availability of funds, disputes, refunds, account status, and other circumstances.

Accordingly, recovery estimates, scores, recommendations, and identified opportunities are intended to assist decision-making and do not constitute a guarantee that any particular amount of revenue will be recovered.

Recoupant does not guarantee that every identified opportunity will result in a recovery, that every recovery attempt will succeed, or that the amount ultimately recovered will equal any estimated amount presented by the Services.

1.7 AI-Assisted Services

Certain Services may use artificial intelligence, machine learning, automated rules, or other automated technologies.

AI-generated information may contain errors, omissions, false positives, false negatives, or other inaccuracies. Customers are responsible for reviewing material recommendations and decisions before taking consequential action.

AI-generated estimates and recommendations are not guarantees and should not be treated as professional tax, accounting, legal, financial, or investment advice.

1.8 Integrations and Connected Services

Recoupant may support integrations with third-party business systems, including payment processors, commerce platforms, accounting systems, and other services.

Customers are responsible for maintaining valid authorization and permissions for connected services and for complying with the applicable third party's terms.

Recoupant may depend on third-party APIs, credentials, services, availability, rate limits, permissions, and data quality.

1.9 Recovery Actions and Authorization

Certain recovery actions may require explicit customer authorization before execution.

Recoupant will not intentionally execute a supported recovery action requiring authorization without obtaining the applicable authorization through the Services or another authorized workflow.

Customers remain responsible for reviewing and approving actions that affect their business, customers, transactions, accounts, or financial records.

1.10 Payments and Subscriptions

Paid Services are processed through third-party payment infrastructure, including Stripe where applicable.

Recoupant may offer subscription plans that are billed on a recurring monthly basis. When you select a recurring subscription, you authorize the applicable payment provider to charge your selected payment method for the subscription fee on the applicable billing date, subject to the subscription terms presented during checkout.

Unless otherwise stated, subscriptions may automatically renew for successive billing periods until canceled in accordance with the applicable cancellation terms.

The amount charged for each renewal will generally correspond to the applicable subscription price in effect for the renewal period, together with any applicable taxes or other charges disclosed during checkout.

Subscription pricing, billing frequency, renewal terms, cancellation procedures, and applicable taxes will be presented before or during the applicable checkout process.

Payment methods may be stored, tokenized, or otherwise maintained by the applicable third-party payment provider for purposes of processing recurring subscription payments. Recoupant does not need to receive or store customers' full payment-card numbers, CVV/security codes, or other raw payment-card credentials in order to facilitate recurring payments through supported payment providers.

Customers may manage applicable subscription and payment settings through the available billing-management functionality.

If a recurring payment fails, the payment provider or Recoupant may attempt to process the payment again or take other actions permitted under the applicable subscription and payment terms. Continued access to paid Services may be affected by an unresolved payment failure.

Customers may cancel recurring subscriptions through the available cancellation or billing-management functionality. Cancellation generally prevents future renewal charges but does not necessarily reverse charges that have already been processed, except where otherwise required by applicable law or expressly provided by Recoupant's applicable refund policy.

1.11 Tax and Business Recordkeeping

Recoupant's assessment tools, revenue-recovery reports, opportunity records, and recovery activity records may provide businesses with information that can assist with their internal financial recordkeeping and reconciliation processes.

Information identified through the Services may help customers document potential revenue leakage, discrepancies, recovery opportunities, amounts recovered, and other relevant business activity. Customers may use applicable Recoupant reports and records as supporting documentation when reviewing their business finances or preparing information for their accounting and tax professionals.

Depending on the customer's circumstances, applicable accounting principles, and applicable tax laws, information concerning revenue losses, recovered revenue, refunds, adjustments, expenses, or other financial activity may have tax or accounting implications.

However, Recoupant does not determine how any loss, recovery, adjustment, transaction, or other amount should be reported for tax or accounting purposes. Recoupant does not provide tax, accounting, legal, or financial advice, and a Recoupant report should not be treated as a substitute for the records, calculations, or professional advice required to prepare a tax return or financial statement.

Customers are responsible for maintaining appropriate supporting records and for determining, with the assistance of their qualified tax or accounting professional where appropriate, how information obtained through the Services should be recorded, reconciled, or reported.

Customers should retain applicable source documentation and other business records supporting any amounts they report or claim.

1.12 Plan Changes and Advertising Status

Customers may change subscription plans where plan-management functionality is available and subject to applicable pricing and billing terms.

If a customer changes from a plan that includes advertising to an ad-free plan, applicable advertising may cease after the plan change becomes effective.

If a customer changes from an ad-free plan to a plan that includes advertising, applicable advertising may become available after the plan change becomes effective.

1.13 Cancellation and Account Termination

Recoupant may suspend, restrict, or terminate access to Services where permitted by these Terms, applicable law, or the applicable subscription agreement.

Customers may cancel subscriptions through available account or billing functionality. Cancellation does not necessarily result in a refund of amounts already paid unless otherwise required by law or provided by applicable policy.

1.14 Prohibited Use

You may not use the Services for unlawful, fraudulent, abusive, deceptive, malicious, or unauthorized purposes.

You may not attempt to gain unauthorized access to accounts, integrations, systems, data, or infrastructure; interfere with the Services; bypass security controls; or use the Services to violate another party's rights.

1.15 Third-Party Services and Availability

The Services may depend on Recoupant's application, Base44 infrastructure, payment providers, integration providers, network services, advertising providers, and other third-party systems.

Availability may therefore be affected by maintenance, outages, network conditions, API changes, third-party failures, security events, or other circumstances outside Recoupant's reasonable control.

1.16 Third-Party Providers

Recoupant may use third-party providers for hosting, infrastructure, payments, integrations, email delivery, analytics, security, advertising, and other functionality.

Your use of third-party services may also be subject to those providers' own terms, policies, and agreements.

1.17 Intellectual Property

Recoupant and its licensors retain all rights, title, and interest in the Services, software, designs, branding, documentation, and related intellectual property except for rights expressly granted to you.

You retain rights to business information and other content that you lawfully provide to Recoupant, subject to the licenses and permissions necessary for Recoupant to operate the Services.

1.18 Changes to These Terms and Policies

Recoupant reserves the right to modify, update, revise, replace, or otherwise change these Terms of Service, Privacy Policy, Security & Infrastructure information, and other applicable policies or service terms at any time, as permitted by applicable law.

Changes may be made to reflect changes in the Services, business operations, technology, security practices, legal or regulatory requirements, pricing, third-party providers, or other circumstances affecting Recoupant or its customers.

When material changes are made, Recoupant will make reasonable efforts to notify affected customers through one or more appropriate communication methods, which may include email notification, notices through the Recoupant website or customer account, or other direct communication.

Updated terms and policies will also be made available through the Recoupant website and will be incorporated into applicable future releases, revisions, or roll-outs of the Services.

The updated version will include a revised "Last Updated" date. Customers are responsible for reviewing updated terms and policies periodically.

Unless otherwise required by applicable law, changes will become effective on the date specified in the updated terms or policies. Continued use of the Services after the effective date of updated terms or policies constitutes acceptance of the updated terms to the extent permitted by applicable law.

Where applicable law requires additional notice, affirmative consent, or another procedure for a particular change, Recoupant will follow the legally required procedure.

1.19 Advertising and Third-Party Advertisements

Recoupant may display advertisements on portions of its website, applications, or other Services associated with subscription plans that include advertising.

The Recovery Audit plan may include advertisements and related advertising technologies.

The Recovery Pro and Recovery MAX plans are intended to provide an ad-free experience within the Recoupant Services covered by those subscriptions.

Advertisements may be provided by Recoupant or by third-party advertising providers, including Google AdSense and other advertising networks or platforms that Recoupant may use in the future.

Third-party advertising providers may use cookies, device identifiers, IP addresses, advertising identifiers, or similar technologies to provide, measure, personalize, or improve advertisements, subject to their applicable policies and the choices available to users.

Advertisements displayed through the Services may be selected based on information such as the content being viewed, general location, browsing activity, device information, or other information made available to the applicable advertising provider.

Recoupant does not control the content, accuracy, availability, or practices of third-party advertisements or the websites, products, or services promoted through those advertisements.

The appearance of an advertisement does not constitute an endorsement, recommendation, guarantee, or verification by Recoupant of the advertised business, product, service, or claim.

Users who interact with a third-party advertisement may be directed to a website or service operated by another party. Any transaction, communication, purchase, subscription, or other interaction with an advertiser is between the user and the applicable third party and is subject to that third party's terms and policies.

Recoupant may receive compensation from advertising providers based on impressions, clicks, conversions, or other applicable advertising arrangements.

Advertising is a separate monetization activity and does not form part of Recoupant's revenue-recovery analysis, opportunity verification, or recovery execution processes unless expressly stated as part of a specific Recoupant feature.

Recoupant does not intentionally provide third-party advertising providers with customer revenue-recovery data, connected financial-system data, or other sensitive business information solely for advertising purposes unless expressly disclosed and permitted by applicable law.

Where applicable law requires user consent or provides users with choices regarding cookies, personalized advertising, or similar technologies, Recoupant will provide the applicable notices and controls.

Recoupant may change, add, remove, or replace advertising providers and advertising technologies as the Services evolve.
